Attached is your updated CloudSync Enterprise Agreement for the renewal period beginning May 1, 2026. Key terms below:
Section 3.1 Subscription Term: 12-month term, auto-renewing. Written cancellation notice required no fewer than 90 days before renewal date.
Section 3.4 Pricing: Annual subscription fee of $42 per seat per month, subject to adjustment of up to 7% at each renewal. Current commitment: 85 seats minimum.
Section 3.5 Seat Commitment: Customer may not reduce seat count below the prior-period commitment during any renewal term. Seat additions are billed at the then-current rate.
Section 5.2 Service Level: CloudSync will use commercially reasonable efforts to maintain availability. In the event of material downtime exceeding 24 consecutive hours, Customer may request a service credit not to exceed 5% of monthly fees for the affected month.
Section 8.1 Data: Customer retains ownership of Customer Data. CloudSync is granted a non-exclusive, worldwide license to use Customer Data for providing the Service, improving product features, and developing aggregated benchmarks.
Section 9.3 Limitation of Liability: CloudSync's total aggregate liability shall not exceed fees paid in the 6 months preceding the claim.
