We can accept the $2M liability cap you proposed, but need to add mutual indemnification for IP claims. Also, our finance team insists on NET-30 instead of NET-15 payment terms.
Regarding the termination clause - we are fine with 90-day notice but need survival of confidentiality provisions for 5 years, not 3.
